Mergers and Acquisitions on Health Care

The focus of mergers of health care delivery system is to accentuate the efficiency and profitability of medical practices while dealing with the sweeping changes to the nation's health care delivery system. This paper highlights some of the corporate governance consequences arising from hospital and healthcare system mergers, joint ventures and acquisitions. Health care mergers, together with mergers of hospitals and other health care organizations, are becoming increasingly significant. Many health care organizations believe that they must be large in order to provide effective and extensive care as required by competitive markets. The predominance of managed care systems on the health care industry has matured dramatically as those systems' share of the health care marketplace has grown.

Blue Cross and Blue Shield of Illinois is one such company. In an effort to achieve economies of scale and further increase market share, the health insurer developed a strategy of growth through M&A. Its goal was a "string of pearls" -- to merge and consolidate several Blue Cross plans and managed care-type organizations, with each one representing another pearl. Achieving this goal required making M&A a core competency. As a result of its merger with Blue Cross and Blue Shield of Texas, the company established an enterprise transition management office to execute the strategy and facilitate future M&A activity. With Accenture's assistance, Blue Cross and Blue Shield of Illinois created an "M&A Engine" -- an intranet-based application containing a vast array of information on the methods, tools, processes and best practices from the company's M&A activities that enables rapid integration following a merger or acquisition.

It is expected that these mergers and acquisitions could change to the extent that local and national economic trends will affect the labor market area. In the established managed care plans, a wide range of opportunities subsists for people. Within managed care facilities registered nurses can find employment as primary care providers, educators and patient representatives. Others can be hired within managed care facilities' utilization management, quality improvement services health and wellness assessment, informatics and billing and claims departments. With managed care's increasing stress on ambulatory and non-acute care settings, opportunities will also be befitting for people in their communities as home care providers, hospice workers and other public health service professionals.
